Payment Terms

Fees for consulting services are specified in individual service agreements. Unless otherwise agreed, invoices are payable within 30 days of the invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. softescore reserves the right to suspend services for accounts that are overdue by more than 60 days.

Intellectual Property

All content on the softescore website, including text, graphics, logos, images, software, and other materials, is the property of softescore or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of our content without express written permission. Any methodologies, frameworks, or tools developed by softescore remain our intellectual property. Client-specific deliverables and recommendations become the property of the client upon full payment, whilst softescore retains the right to use general knowledge and experience gained during engagements.

Confidentiality

softescore acknowledges that during the course of providing services, we may have access to confidential and proprietary information belonging to clients. We commit to maintaining strict confidentiality of such information and will not disclose it to third parties without prior written consent, except as required by law. Clients similarly agree to maintain confidentiality regarding softescore's proprietary methodologies, business practices, and any confidential information shared during engagements.

Limitation of Liability

To the fullest extent permitted by law, softescore's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim. In no event shall softescore be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory upon which the claim is based.

Professional Standards

softescore will perform all services with professional competence and in accordance with generally accepted practices in the operations consulting industry. However, we do not guarantee specific outcomes or results from our consulting services. Business success depends on numerous factors beyond our control, including market conditions, management execution, and external economic factors.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Ireland. The parties agree that any legal proceedings shall be conducted in English and that the courts of Dublin, Ireland shall have exclusive jurisdiction over any disputes.

Force Majeure

softescore shall not be liable for any failure or delay in performance of our obligations under these terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or pandemic-related restrictions.

Termination

Either party may terminate ongoing consulting arrangements with reasonable notice as specified in the relevant service agreement. softescore reserves the right to terminate access to our website or services immediately if you violate these terms or engage in conduct that we reasonably believe is harmful to our business or other users. Upon termination, you must cease using our services and return or destroy any confidential information in your possession. Provisions regarding confidentiality, intellectual property, limitation of liability, and governing law shall survive termination.
